These Terms of Service (“Terms”) govern your access to and use of the websites, applications, products, tools, marketplace features, request features, offer features, payment features, livestream features, messaging features, creator tools, account features, payment and payout features, and related services provided by GeniesX Technologies Limited, a company incorporated in Hong Kong (“GeniesX,” “Company,” “we,” “us,” or “our”).
GeniesX operates a marketplace that enables verified creators (“Genies”) and users (“Wishers”) to interact through marketplace features, including Videos, Pictures, Wishes, Offers, Experiences, subscriptions, livestreams, messaging, paid content, tips, platform credits, and other digital services.
These Terms form a legally binding agreement between GeniesX and any person or entity that accesses or uses the Services, including visitors, account holders, Wishers, Genies, creators, subscribers, purchasers, affiliates, agencies, studios, managers, and any other users of the Services.
By accessing or using the Services, creating an Account, submitting or accepting a Wish, publishing or purchasing an Offer, purchasing an Experience, subscribing to a Genie, uploading Content, participating in livestreams, sending messages, making payments, receiving payouts, using Platform Balances or Credits, participating in the affiliate program, or otherwise interacting with the Platform, you agree to be bound by these Terms and all policies incorporated by reference.
If you do not agree to these Terms, you must not access or use the Services.
By accessing or using the Services in any way, you confirm that you have read, understood, and agree to be bound by these Terms and all policies, guidelines, notices, and supplemental terms incorporated into these Terms or made available by GeniesX.
These Terms apply to all users of the Services, whether or not they create an Account, including visitors, Wishers, Genies, subscribers, purchasers, affiliates, agencies, studios, managers, and any other person or entity that accesses or interacts with the Platform.
You accept these Terms when you do any of the following:
If you use the Services on behalf of a company, agency, studio, manager, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms. In that case, “you” and “your” refer to both you personally and the entity on whose behalf you act.
If you do not have such authority, you must not use the Services on behalf of that entity.
You may accept these Terms only if you have the legal capacity to enter into a binding agreement and are legally permitted to use the Services in the jurisdiction from which you access them.
Use of the Services is not permitted where prohibited by law, where age verification or access restrictions cannot be satisfied, where payment or payout processing is unavailable or restricted, or where GeniesX determines that providing the Services would create legal, regulatory, safety, payment, sanctions, processor, or platform-integrity risk.
If you do not agree to these Terms, or if you are not eligible to use the Services, you must not access, browse, register for, purchase from, upload to, stream through, interact with, or otherwise use the Services.
GeniesX may suspend, restrict, or terminate access if it determines that you have not validly accepted these Terms, are not eligible to use the Services, have provided false or incomplete information, or are attempting to access the Services in violation of these Terms, applicable law, or platform restrictions.
You agree that these Terms, together with any incorporated policies and supplemental terms, may be accepted electronically and have the same legal effect as a signed written agreement. Your electronic acceptance, Account registration, continued use, click-through consent, purchase, upload, payout request, or other interaction with the Services may be used as evidence of your acceptance.
These Terms apply together with, and incorporate by reference, all policies, guidelines, notices, rules, and supplemental terms published or made available by GeniesX from time to time.

If there is a conflict between these Terms and any incorporated policy or supplemental terms, the document that is more specific to the relevant subject matter will control, unless GeniesX states otherwise.
GeniesX may update, replace, supplement, or withdraw any incorporated policy from time to time. Continued access to or use of the Services after an updated policy becomes effective constitutes acceptance of that updated policy.
For purposes of these Terms:
“Account” means any user, creator, studio, agency, affiliate, or other account registered with GeniesX.
“Affiliate” means a person or entity approved by GeniesX to participate in any referral, traffic, promotional, or commission program.
“Approved Creator Payout Amount” means the creator-facing amount approved, recorded, confirmed, or otherwise recognized by GeniesX as the amount that may be credited or paid to a Creator or Genie for a Marketplace Transaction, subject to deductions, holds, reserves, refunds, Chargebacks, taxes, payout costs, processor costs, compliance costs, fraud costs, adjustments, and other amounts permitted under these Terms. An Approved Creator Payout Amount is not the same as the Final Customer Price unless GeniesX expressly states otherwise.
“Agency,” “Studio,” or “Manager” means any person or entity that manages, represents, assists, administers, supports, or controls one or more Creator accounts, Genie accounts, or Creator activities.
“Chargeback” means any cardholder dispute, payment reversal, processor reversal, bank reversal, crypto processor reversal, network dispute, refund forced by a payment provider, or similar transaction reversal.
“Content” means any media, stream, livestream, image, video, audio, text, message, profile information, Custom Request, metadata, caption, username, display name, thumbnail, interaction, or other material uploaded, transmitted, displayed, sold, streamed, requested, purchased, or otherwise made available through the Services.
“Creator” or “Genie” means a verified user approved by GeniesX to publish Content, create Offers, respond to Wishes, provide Experiences, offer subscriptions, provide livestreams, receive payments, receive tips, sell or unlock Content, accept Custom Requests, or otherwise monetize through the Platform.
“Creator Earnings” or “Genie Earnings” means amounts credited by GeniesX to a Creator’s or Genie’s internal account balance. For Marketplace Transactions other than Tips, Creator Earnings may be based on the applicable Creator Requested Amount, Approved Creator Payout Amount, or other creator-facing amount approved, recorded, or recognized by GeniesX, subject to deductions, holds, reserves, refunds, Chargebacks, taxes, payout costs, compliance costs, processor costs, adjustments, and other amounts permitted under these Terms. For Tips, Creator Earnings may be based on the Net Tip Amount after deduction of the Tip Platform Fee and any other applicable deductions, holds, reserves, refunds, Chargebacks, taxes, payout costs, compliance costs, or adjustments permitted under these Terms.
“Creator Payout” means any payout, withdrawal, settlement, transfer, or release of Creator Earnings or Genie Earnings to a Creator, Genie, Agency, Studio, Manager, payout account, crypto wallet, or other approved payout destination.
“Creator Requested Amount” means the amount requested by a Creator or Genie as the creator-facing amount for a Wish, Offer, Experience, subscription, Content unlock, Custom Request, livestream, paid message, or other Marketplace Transaction, other than a Tip. A Creator Requested Amount is a requested amount only and does not become payable unless approved, recorded, accepted, or otherwise recognized by GeniesX through the Platform.
“Crypto Transaction” means any transaction involving digital assets, stablecoins, cryptocurrencies, blockchain-based settlement, crypto deposits, crypto payouts, or crypto payment processing enabled through third-party providers.
“Custom Request” means any personalized Wish, request, instruction, paid message, custom Content request, private interaction request, livestream request, or other user-requested Experience submitted through the Platform and accepted, rejected, modified, cancelled, or fulfilled by a Genie where enabled by GeniesX.
“Experience” means any digital interaction, Content access, Custom Request, livestream, private interaction, messaging-based exchange, paid interaction, digital delivery, Marketplace Transaction, or other creator-provided offering made available, requested, purchased, accepted, fulfilled, or provided through the Platform, including any Experience created through a Wish, Offer, subscription, livestream, Custom Request, paid message, unlocked Content, or other feature enabled by GeniesX.
“Fan,” “Subscriber,” “Wisher,” or “User” means any person or entity that accesses the Services, views Content, submits Wishes, purchases Offers, purchases Experiences, subscribes to Genies, purchases Content, sends Tips, participates in livestreams, sends messages, or otherwise interacts with the Platform.
“Final Customer Price” means the total price displayed to or charged to a User, Wisher, Fan, or Subscriber for a Wish, Offer, Experience, subscription, Content unlock, Custom Request, livestream, paid message, or other Marketplace Transaction. GeniesX may determine, display, adjust, discount, increase, decrease, or otherwise set the Final Customer Price at its discretion, subject to applicable law.
“Livestream Services” means any real-time or near-real-time video, audio, messaging, chat, interactive, or private stream feature made available through the Services.
“Marketplace Transaction” means any transaction, purchase, subscription, Tip, unlock, Wish, Offer, Experience, Custom Request, paid message, livestream access, Platform Balance purchase, Credit purchase, Token purchase, payout, refund, Chargeback, or other paid or unpaid interaction made available, initiated, processed, completed, cancelled, or reversed through the Platform.
“Markup” means any amount included in the Final Customer Price above the applicable Creator Requested Amount, Approved Creator Payout Amount, or other creator-facing amount. Markup may include GeniesX margin, Platform Fees, payment processing costs, payout costs, currency conversion costs, crypto costs, compliance costs, fraud costs, risk costs, affiliate costs, promotional adjustments, taxes, reserves, and other amounts determined by GeniesX.
“Net Tip Amount” means the amount of a Tip actually available after deduction of applicable payment processor fees, payout fees, card-network fees, crypto costs, currency conversion costs, taxes, refunds, Chargebacks, fraud costs, compliance costs, reserves, and other transaction-related costs.
“Offer” means a listing, package, ready-made digital offer, subscription offer, service offer, Content offer, livestream offer, or other marketplace listing published by a Genie.
“Payment Processor” means any third-party card processor, acquiring bank, payment gateway, payout provider, crypto processor, wallet-screening provider, fraud provider, billing provider, verification provider, compliance provider, or financial infrastructure provider used by GeniesX.
“Payout Method” means any bank account, payment account, card, wallet, crypto wallet, processor account, or other payment destination approved or supported by GeniesX or its Payment Processors for receiving Creator Payouts, Genie Earnings, affiliate commissions, refunds, or other amounts.
“Platform” or “Services” means the GeniesX websites, apps, platform, systems, tools, dashboards, payment features, payout features, livestream features, messaging features, marketplace features, creator tools, affiliate tools, moderation systems, and related services.
“Platform Balance,” “GeniesX Balance,” “Wallet Balance,” “Credits,” “Platform Credits,” or “Tokens” means an internal accounting balance, credit, token, promotional credit, wallet balance, or platform-specific value shown inside the Services and usable only within the Platform. Unless expressly stated otherwise, these balances are not bank deposits, stored value accounts, transferable payment instruments, securities, e-money, or insured funds.
“Platform Fees” means any fees, commissions, service fees, marketplace fees, Markup, Tip Platform Fees, processing fees, payout fees, conversion fees, network fees, administrative fees, compliance fees, Chargeback fees, dispute fees, risk fees, or other amounts charged, deducted, withheld, retained, included in the Final Customer Price, or passed through by GeniesX or its providers in connection with the Services.
“Prohibited Conduct” means any conduct prohibited under these Terms, the Acceptable Use Policy, Creator Guidelines, payment rules, trust and safety rules, or applicable law.
“Restricted Content” means any Content, Offer, Wish, Experience, livestream, message, feature, digital service, or part of the Services that is restricted based on age, jurisdiction, Verification status, payment status, subscription status, purchase status, policy status, legal requirements, processor requirements, or platform settings.
“Restricted Jurisdiction” means any country, territory, state, region, location, IP range, wallet, payment method, person, entity, or category of users that GeniesX restricts, blocks, limits, or subjects to additional Verification due to law, sanctions, Payment Processor rules, card-network rules, crypto processor rules, age-verification requirements, commercial risk, safety risk, compliance risk, or internal policy.
“Third-Party Age Verification” means an age-verification, age-assurance, identity-verification, or eligibility-check process performed by an approved third-party provider, verification vendor, digital identity provider, age-estimation provider, or other verification method designated or accepted by GeniesX.
“Tip” means a voluntary payment made by a User, Wisher, Fan, or Subscriber to a Creator or Genie through the Platform that is not a purchase of a specific Wish, Offer, Experience, subscription, Content unlock, Custom Request, livestream, paid message, or other required digital service, unless GeniesX expressly states otherwise.
“Tip Platform Fee” means the fee retained by GeniesX from Tips. Unless otherwise stated by GeniesX, the Tip Platform Fee is twenty percent (20%) of the Net Tip Amount.
“User Content” means any Content submitted, uploaded, streamed, transmitted, displayed, requested, offered, sold, purchased, messaged, provided, or otherwise made available by any User, Wisher, Genie, Creator, Agency, Studio, Manager, Affiliate, or other person through the Services.
“Verification” means any identity, age, eligibility, account, payment, payout, tax, sanctions, AML, records, consent, release, jurisdiction, device, wallet, fraud, safety, or compliance check required, requested, performed, or relied upon by GeniesX or its service providers.
“Verified Creator” or “Verified Genie” means a Creator or Genie that has completed the identity, age, compliance, and account verification procedures required by GeniesX.
“Wish” means a request, Custom Request, request-for-offer, message-based request, private request, or marketplace request submitted by a Wisher and accepted, rejected, modified, cancelled, or fulfilled by a Genie where enabled by the Services.
Creators and Genies are independent users of the Platform. GeniesX does not employ, supervise, control, direct, or guarantee any Creator or Genie. GeniesX does not guarantee any Genie’s availability, conduct, Content, Offers, Experiences, Wish fulfillment, earnings, performance, popularity, ranking, visibility, or success. GeniesX does not guarantee that any Wisher will find a Genie, that any Wish will be accepted, that any Offer will remain available, or that any Experience will meet a User’s subjective expectations.
GeniesX may make the Services, or certain features of the Services, available only in selected countries, states, territories, regions, languages, currencies, payment methods, payout methods, devices, or user categories.
GeniesX does not guarantee that the Services, or any Content, Wish, Offer, Experience, subscription, livestream, payment method, payout method, Crypto Transaction, or feature, will be available in any particular jurisdiction or at any particular time.
GeniesX may restrict, modify, discontinue, geoblock, age-gate, verify, re-verify, or limit access to any part of the Services based on law, risk, payment availability, processor rules, card-network rules, sanctions, taxes, age-verification requirements, operational considerations, or platform policy.
Creators, Genies, Agencies, Studios, Managers, Affiliates, and Users are independent third parties and are not employees, workers, agents, partners, joint venturers, legal representatives, or franchisees of GeniesX.
Nothing in these Terms, the Services, any Marketplace Transaction, any Wish, Offer, Experience, subscription, livestream, payout, dashboard, pricing tool, creator tool, or communication creates an employment, agency, partnership, joint venture, fiduciary, representative, or similar relationship between GeniesX and any Creator, Genie, User, Wisher, Agency, Studio, Manager, or Affiliate.
Creators and Genies are solely responsible for their own Content, conduct, tax obligations, legal compliance, records, consents, pricing requests, fulfillment decisions, and interactions with Users.
GeniesX may provide tools, infrastructure, payment support, moderation systems, discovery systems, and marketplace features, but GeniesX does not employ, supervise, direct, control, guarantee, or act as the legal representative of any Creator or Genie.
GeniesX is incorporated in Hong Kong and may operate its Services globally, subject to jurisdiction-specific restrictions, availability, Verification requirements, payment limitations, and platform policy.
Unless expressly stated by GeniesX in writing, GeniesX does not represent that the Services are directed to, targeted at, approved for, licensed in, or fully available in the United States or in any particular U.S. state, territory, or jurisdiction.
Access to the Services from the United States, or by U.S. persons, may be restricted, blocked, limited, conditioned on Verification, conditioned on Third-Party Age Verification, or otherwise controlled by GeniesX at any time.
GeniesX may apply country-level, state-level, territory-level, regional, IP-based, device-based, payment-based, wallet-based, or user-specific restrictions for the United States.
GeniesX may require Third-Party Age Verification, enhanced Verification, re-verification, session checks, geolocation checks, VPN or proxy checks, payment checks, or other controls before allowing access to Restricted Content or any restricted feature.
GeniesX may block access from any U.S. state or territory if GeniesX determines that:
Users are solely responsible for ensuring that their access to and use of the Services is lawful in the jurisdiction from which they access the Services, including any applicable U.S. federal, state, territorial, or local law.
You must not access or use the Services from any U.S. jurisdiction where doing so is prohibited, restricted, or conditioned on requirements that you have not satisfied.
You must not use VPNs, proxies, Tor, location-masking tools, false addresses, false payment information, borrowed accounts, third-party accounts, manipulated devices, or any other method to bypass U.S. restrictions, state-level restrictions, age gates, geoblocks, Verification requirements, payment restrictions, or compliance controls.
Where GeniesX determines that U.S. federal, state, territorial, local, processor, card-network, or platform requirements apply, GeniesX may require Third-Party Age Verification before allowing access to Restricted Content, Wishes, Offers, Experiences, livestreams, subscriptions, paid messages, Content unlocks, or other restricted features.
A self-declaration, checkbox, or statement that a User is over a minimum age may not be sufficient in some U.S. jurisdictions.
GeniesX may deny or terminate access if a User fails Verification, refuses Verification, provides false information, attempts to bypass Verification, or accesses the Services from a restricted U.S. jurisdiction.
Genies, Creators, Agencies, Studios, Managers, and any person or entity uploading, producing, providing, selling, streaming, or making available Content through the Services are solely responsible for maintaining all records, consents, releases, age records, identity records, performer documentation, co-participant documentation, and other materials required by applicable law, including where U.S. law is alleged or determined to apply.
Where required or advisable, GeniesX may require Creators, Genies, Agencies, Studios, or Managers to provide, certify, retain, update, or make available records and documentation relating to:
GeniesX may remove Content, suspend Accounts, freeze payouts, impose reserves, request records, require re-verification, terminate access, or report activity where records are missing, incomplete, inconsistent, expired, unverifiable, suspicious, or insufficient.
GeniesX may maintain copyright notice-and-takedown procedures intended to support compliance with applicable copyright laws, including the U.S. Digital Millennium Copyright Act where applicable.
Users must not upload, stream, sell, transmit, request, purchase, publish, distribute, or otherwise make available Content that infringes copyrights, trademarks, rights of publicity, privacy rights, contractual rights, or other rights.
GeniesX may remove or disable access to allegedly infringing Content, terminate repeat infringers, process counter-notices, restore Content where appropriate, reject abusive notices, and maintain copyright enforcement records.

To the maximum extent permitted by applicable law, GeniesX reserves all rights, defenses, immunities, limitations of liability, and safe harbors available to online service providers, interactive computer services, platforms, intermediaries, hosts, marketplaces, and service providers under U.S. law or any other applicable law.
Nothing in these Terms shall be interpreted as GeniesX admitting that it is the publisher, speaker, producer, seller, employer, principal, agent, guarantor, or legal representative of any User, Wisher, Genie, Creator, Agency, Studio, Manager, Affiliate, or third-party Content provider.
Users, Creators, Genies, Agencies, Studios, and Managers are solely responsible for their own Content, conduct, records, consents, representations, warranties, transactions, and legal compliance.
Users must not upload, request, offer, sell, purchase, stream, transmit, promote, or make available any Content, Wish, Offer, Experience, livestream, message, or interaction that is obscene, unlawful, non-consensual, exploitative, abusive, infringing, deceptive, fraudulent, or prohibited under applicable law or GeniesX policies.
GeniesX may remove, restrict, report, suspend, terminate, or preserve any Content or Account where GeniesX determines that U.S. legal risk, obscenity risk, consent risk, age risk, records risk, payment risk, processor risk, sanctions risk, or platform-integrity risk may exist.
GeniesX may restrict U.S.-related payments, payouts, cards, banks, wallets, crypto transactions, billing addresses, payout destinations, IP addresses, devices, accounts, or transactions where required or advisable due to:
GeniesX may refuse, hold, reverse, reserve, delay, block, or investigate any U.S.-related transaction or payout.
GeniesX may modify, suspend, restrict, geoblock, age-gate, verify, re-verify, remove, demonetize, or discontinue any U.S.-related access, Content, Account, feature, payment method, payout method, Marketplace Transaction, Wish, Offer, Experience, livestream, subscription, or service at any time.
GeniesX may do so without admitting that U.S. law applies to GeniesX generally or to any particular transaction, User, Content, Account, or feature.
You are responsible for:
GeniesX may refuse registration, reclaim usernames, require username changes, suspend Accounts, merge duplicate Accounts, restrict Accounts, or terminate Accounts at its sole discretion.
You are obligated not to sell, rent, transfer, assign, share, or provide access to your Account without GeniesX’s prior written permission.
You are responsible for maintaining the confidentiality and security of your Account credentials, devices, payment methods, payout methods, wallets, and access to the Services.
You must not share, sell, transfer, rent, sublicense, or allow another person to use your Account unless expressly permitted by GeniesX.
You are responsible for all activity that occurs through your Account, including purchases, Tips, messages, Content access, uploads, Wishes, Offers, Experiences, subscriptions, payouts, and other activity.
You must notify GeniesX immediately if you believe your Account, credentials, payment method, payout method, wallet, or device has been compromised.
GeniesX may restrict or suspend Accounts where GeniesX detects unusual access, account sharing, credential compromise, payment risk, device risk, location mismatch, or security concerns.
Creators must complete all verification procedures required by GeniesX before monetization, publication, payout, livestreaming, subscriptions, custom requests, or other Creator features are enabled.
GeniesX may require Creators to provide:
Creators may use display names, stage names, pseudonyms, or public-facing identities, provided that GeniesX must know and verify the Creator’s legal identity internally.
GeniesX may require re-verification, enhanced due diligence, source-of-funds checks, source-of-wealth checks, co-participant documentation, consent records, release records, or additional compliance information at any time.
Failure to complete or maintain verification may result in:
Creators are solely responsible for ensuring that all Content they upload, stream, sell, transmit, or make available through the Services complies with applicable laws and GeniesX policies.
Where applicable, Creators must maintain accurate, complete, and current records proving:
GeniesX may require Creators to provide documentation before or after the Content is published. GeniesX may remove, restrict, demonetize, suspend, or block Content if documentation is missing, incomplete, inconsistent, suspicious, expired, or not provided within the required time.
GeniesX may retain verification, compliance, moderation, payment, safety, and records-related information after Account deletion, where required or permitted for legal, safety, dispute, fraud, payment, processor, or compliance purposes.
Creators may work with Agencies, Studios, Managers, or Teams only where permitted by GeniesX and subject to applicable policies.
Any Agency, Studio, Manager, or Team using the Services represents and warrants that:
GeniesX may communicate directly with any Creator, require direct Creator confirmation, detach a Creator from an Agency or Studio, suspend Agency or Studio access, freeze payouts, investigate complaints, and take any action GeniesX considers necessary to protect Creators, Users, Payment Processors, or the Platform.
The Services may allow Wishers and Users to submit Wishes, purchase Offers, purchase Experiences, purchase subscriptions, purchase one-time access, purchase pay-per-view Content, unlock locked media, submit Custom Requests, send Tips, purchase bundles, purchase livestream access, purchase private interactions, purchase Platform Balances, Credits, Tokens, or purchase other digital services.
All Marketplace Transactions are subject to these Terms, applicable policies, payment rules, processor rules, card-network rules, verification requirements, content rules, refund rules, and any additional terms presented by GeniesX.
A Wish is an invitation or request submitted by a Wisher. A Genie is not required to accept, respond to, negotiate, modify, or fulfill any Wish.
A Genie may reject a Wish for any reason, subject to these Terms and applicable policies.
A Wisher is not guaranteed that any Wish will be accepted, fulfilled, delivered, completed, available, satisfactory, lawful in every jurisdiction, or free of disputes.
GeniesX may cancel, restrict, moderate, remove, or prevent any Wish at any time where GeniesX determines that the Wish violates policy, creates risk, is impossible to lawfully fulfill, is disputed, or raises legal, payment, safety, processor, records, consent, age-verification, or platform-integrity concerns.
An Offer is a marketplace listing or proposed Experience published by a Genie.
GeniesX may review, classify, restrict, remove, modify the visibility of, disable, or cancel any Offer at any time.
Publication of an Offer does not mean that GeniesX endorses the Genie, the Offer, the Content, the Experience, the description, the pricing, the availability, or the accuracy of any information provided by the Genie.
An Experience may involve Content access, Custom Requests, messaging, livestreaming, a private interaction, a digital service, or another marketplace feature enabled by GeniesX.
GeniesX does not guarantee that any Experience will be accepted, delivered, completed, uninterrupted, satisfactory, available, lawful in every jurisdiction, or free of disputes.
If a Genie accepts a Wish or offers an Experience, the Genie remains responsible for determining whether the Wish or Experience can be lawfully, safely, and properly fulfilled.
Genies must not accept Wishes or provide Experiences that violate these Terms, any incorporated policy, applicable law, required consent, platform rules, processor rules, or card-network rules.
For Marketplace Transactions other than Tips, a Creator or Genie may provide GeniesX with a Creator Requested Amount, minimum creator-facing amount, base payout amount, or other requested amount.
GeniesX may determine, display, adjust, discount, increase, decrease, and charge the Final Customer Price payable by the User, Wisher, Fan, or Subscriber.
The Final Customer Price may be higher than the Creator Requested Amount and may include Markup, Platform Fees, payment processing costs, payout costs, card-network costs, taxes, currency conversion costs, crypto costs, compliance costs, fraud costs, risk costs, reserves, affiliate costs, promotional adjustments, and other amounts determined by GeniesX.
Unless expressly stated otherwise by GeniesX, a Creator or Genie has no right to receive the full Final Customer Price charged to the User.
The amount payable to the Creator or Genie will be calculated according to the applicable Creator Requested Amount, Approved Creator Payout Amount, Tip rules, payout rules, deductions, holds, reserves, refunds, Chargebacks, taxes, processor costs, payout costs, compliance costs, and adjustments described in these Terms and any applicable payment or payout policy.
Tips are treated differently from other Marketplace Transactions.
Unless otherwise stated by GeniesX, GeniesX will retain a Tip Platform Fee equal to twenty percent (20%) of the Net Tip Amount.
The remaining portion of the Net Tip Amount may be credited as Creator Earnings, subject to deductions, holds, reserves, refunds, Chargebacks, taxes, payout costs, compliance costs, fraud review, and other adjustments permitted under these Terms.
Tips are voluntary and do not guarantee any specific Content, Wish, Offer, Experience, service, response, outcome, future interaction, priority treatment, or continued availability.
Unless expressly stated otherwise:
GeniesX may correct billing errors, reverse mistaken credits, cancel purchases, cancel Wishes, remove Offers, deny transactions, restrict purchases, refuse payment methods, restrict Experiences, adjust pricing, apply Markup, apply Platform Fees, apply Tip Platform Fees, or prevent Marketplace Transactions at any time.
GeniesX may restrict, suspend, cancel, or reverse any Marketplace Transaction where GeniesX determines that the transaction creates legal, safety, payment, fraud, processor, sanctions, tax, records, consent, regulatory, reputational, or platform-integrity risk.
Genies are solely responsible for ensuring that they can lawfully, safely, and properly fulfill any Wish, Offer, Experience, Custom Request, Content unlock, subscription, paid message, livestream, or other Marketplace Transaction they accept or provide.
Genies must not promise, offer, or provide any Content, service, interaction, delivery timeline, outcome, exclusivity, ownership transfer, off-platform access, refund, future availability, or right that conflicts with these Terms or any applicable policy.
GeniesX may set, change, restrict, test, or remove marketplace categories, pricing tools, commission structures, Markup structures, Platform Fees, offer formats, request formats, subscription formats, tipping features, unlock features, livestream features, payout rules, pricing rules, and marketplace features at any time, subject to applicable law.
Where permitted by applicable law, by purchasing digital Content, an Experience, subscription access, livestream access, paid message, Content unlock, Custom Request, or other digital service, the User requests and consents to immediate access, delivery, performance, or availability of the relevant digital service.
Where applicable law provides a cooling-off, withdrawal, or cancellation right for digital content or digital services, the User acknowledges that such right may be lost, limited, or affected once access, delivery, performance, streaming, download availability, personalization, fulfillment, or consumption begins, to the extent permitted by applicable law.
Nothing in these Terms limits any mandatory consumer rights that cannot be waived under applicable law.
The Services may allow Users to purchase subscriptions to Genies, Content, features, or other digital services.
Unless expressly stated otherwise at the time of purchase, subscriptions may automatically renew at the end of each billing period until cancelled.
By purchasing a subscription, you authorize GeniesX and its Payment Processors to charge the applicable payment method for recurring subscription fees, applicable taxes, Platform Fees, processing costs, and other amounts due.
Subscription pricing, renewal terms, billing periods, available features, and included Content may vary by Genie, jurisdiction, payment method, and platform settings.
A User may cancel a subscription through the tools made available by GeniesX. Cancellation will usually stop future renewals but will not automatically refund amounts already paid, unless required by applicable law or expressly stated by GeniesX.
GeniesX may cancel, suspend, modify, restrict, or discontinue subscriptions at any time due to policy violations, payment failure, processor requirements, Creator or Genie availability, Account restrictions, legal requirements, or platform changes.
GeniesX does not guarantee that any Creator, Genie, Account, Offer, Wish, Experience, subscription, livestream, message, or Content will remain available for any period of time.
Creators and Genies may become unavailable, remove Content, change Offers, stop responding, discontinue Experiences, cancel availability, or close Accounts, subject to these Terms and platform rules.
GeniesX may remove, restrict, or disable Content, Accounts, Offers, Wishes, Experiences, livestreams, subscriptions, or messages at any time for legal, safety, payment, processor, records, compliance, moderation, or platform-integrity reasons.
Unless required by applicable law or expressly stated by GeniesX, removal, unavailability, suspension, termination, or restriction of a Creator, Genie, Account, Offer, Experience, livestream, subscription, message, or Content does not automatically entitle a User to a refund.
GeniesX may offer internal balances, credits, tokens, or similar accounting units for use only within the Services.
Unless expressly stated otherwise, Platform Balances, Credits, or Tokens:
GeniesX may impose limits on balances, purchases, redemptions, refunds, use, expiration, inactivity, chargebacks, promotional credits, fraud review, or compliance review.
Creator Earnings are subject to GeniesX fees, Platform Fees, Markup rules, Tip Platform Fees, processor fees, payout fees, taxes, refunds, Chargebacks, reserves, holds, adjustments, negative balances, penalties, fraud losses, compliance reviews, and other deductions permitted by these Terms.
Amounts displayed in dashboards, account pages, payout screens, creator tools, statements, reports, or reporting tools may be estimates only until finally settled, reconciled, adjusted, and released by GeniesX.
For Marketplace Transactions other than Tips, GeniesX may use a marketplace pricing model under which Creators or Genies provide a Creator Requested Amount, minimum creator-facing amount, base payout amount, or other requested amount, and GeniesX determines the Final Customer Price charged to the User.
A Creator Requested Amount is not the same as the Final Customer Price. The Final Customer Price may be higher than the Creator Requested Amount.
GeniesX may retain the difference between the Final Customer Price and the applicable Creator Requested Amount, Approved Creator Payout Amount, or other creator-facing amount.
Such retained amounts may include Markup, Platform Fees, processing costs, payout costs, currency conversion costs, crypto costs, compliance costs, fraud costs, risk costs, taxes, reserves, affiliate costs, promotional adjustments, and other amounts determined by GeniesX.
Unless expressly stated otherwise by GeniesX, Creators and Genies are not entitled to receive the full Final Customer Price charged to Users.
For Tips only, unless otherwise stated by GeniesX, GeniesX will retain a Tip Platform Fee equal to twenty percent (20%) of the Net Tip Amount.
Tips are not subject to the standard Markup model unless GeniesX expressly states otherwise.
The remaining portion of the Net Tip Amount may be credited as Creator Earnings, subject to deductions, holds, reserves, refunds, Chargebacks, taxes, payout costs, compliance costs, fraud review, and other adjustments permitted under these Terms.
Amounts displayed in dashboards, account pages, payout screens, creator tools, statements, reports, or reporting tools may be estimates only until finally settled, reconciled, adjusted, and released by GeniesX.
GeniesX may correct errors, reverse mistaken credits, adjust balances, apply reserves, deduct Chargebacks, deduct refunds, deduct taxes, deduct processor costs, deduct payout costs, deduct compliance costs, deduct fraud costs, adjust Markup, adjust Platform Fees, adjust Tip Platform Fees, and make any other adjustment permitted under these Terms.
GeniesX may delay, hold, reserve, freeze, offset, reverse, deduct, claw back, or refuse payout of Creator Earnings where GeniesX determines, in its sole discretion, that such action is appropriate due to:
GeniesX may impose rolling reserves, transaction-specific reserves, account-level reserves, risk-based payout delays, minimum payout thresholds, payout schedules, payout limits, payout method restrictions, and enhanced review requirements.
Creators and Genies are responsible for Chargebacks, refunds, fraud losses, processor penalties, network fees, dispute fees, compliance costs, tax issues, and related losses arising from their Content, conduct, Account, traffic, Users, Affiliates, Agencies, Studios, Managers, Wishes, Offers, Experiences, Custom Requests, or Marketplace Transactions.
GeniesX may recover amounts owed by deducting them from current or future Creator Earnings, applying reserves, withholding payouts, reversing credits, adjusting balances, creating a negative balance, offsetting against related Accounts, requiring repayment, suspending payout access, or taking any other action permitted by law or these Terms.
GeniesX does not guarantee that any Creator, Genie, Agency, Studio, Manager, or Affiliate will receive traffic, visibility, purchases, subscriptions, Tips, Wishes, Offers, Experiences, followers, rankings, recommendations, payouts, or earnings.
Any earnings estimates, dashboard figures, projected payouts, marketplace analytics, pricing tools, performance tools, or promotional materials are estimates only and do not guarantee actual earnings.
Creator Earnings depend on many factors, including User demand, pricing, availability, Content, completion, refunds, Chargebacks, payment processing, payout availability, Verification status, compliance status, moderation status, platform rules, and market conditions.
All payments, purchases, subscriptions, Tips, Platform Balance transactions, Creator Earnings, payouts, refunds, Chargebacks, and related financial activity may be processed, reviewed, approved, rejected, delayed, reversed, or restricted by third-party Payment Processors.
GeniesX does not control all decisions made by Payment Processors, acquiring banks, issuing banks, card networks, payout providers, crypto processors, fraud vendors, compliance vendors, or other financial infrastructure providers.
You agree that:
Users, Wishers, Genies, Creators, Agencies, Studios, Managers, and Affiliates must comply with all applicable card-network, acquiring bank, issuing bank, Payment Processor, payout provider, crypto processor, and payment-facilitation rules.
Without limiting the generality of the above:
You agree to cooperate fully with GeniesX and its Payment Processors in connection with payment, payout, fraud, Chargeback, refund, tax, sanctions, AML, records, consent, card-network, processor, regulator, pricing, Markup, Tip Platform Fee, or compliance reviews.
Such cooperation may include providing:
If you fail to cooperate, provide incomplete or inaccurate information, delay responses, or refuse requested Verification, GeniesX may restrict transactions, suspend payment features, hold payouts, increase reserves, reverse credits, remove Content, restrict Accounts, terminate Accounts, or take any other action permitted under these Terms.
GeniesX does not guarantee that any payment method, payout method, currency, country, card type, crypto asset, processor, bank, or transaction route will be available at any time.
Payment and payout availability may depend on:
GeniesX may add, remove, limit, or change payment methods, payout methods, currencies, crypto assets, processors, settlement schedules, payout schedules, fees, transaction limits, pricing methods, Markup methods, Tip Platform Fee methods, or supported jurisdictions at any time.
Payment Processors, card networks, banks, crypto processors, payout providers, or GeniesX may impose holds, reserves, rolling reserves, delayed settlement, transaction review, payout review, chargeback reserves, fraud reserves, compliance reserves, or other restrictions.
Such holds, reserves, or delays may be imposed because of:
GeniesX may hold funds for as long as reasonably necessary to address actual or anticipated Chargebacks, refunds, disputes, processor inquiries, compliance reviews, fraud investigations, legal obligations, pricing issues, payout calculation issues, or other liabilities.
Chargebacks, payment reversals, refund reversals, card-network disputes, crypto processor reversals where available, and similar events may result in deductions, negative balances, payout holds, reserve increases, Account restrictions, or other remedial actions.
Genies, Creators, Agencies, Studios, Managers, and Affiliates are responsible for Chargebacks, refunds, fraud losses, processor fees, card-network fees, penalties, dispute fees, refund costs, and related losses arising from their Content, Offers, Wishes, Experiences, traffic, Users, transactions, Affiliates, Agencies, Studios, Managers, or Account activity.
GeniesX may recover such amounts by:
GeniesX may calculate Marketplace Transaction amounts, Creator Earnings, Genie Earnings, Platform Fees, Markup, Tip Platform Fees, payouts, reserves, refunds, Chargebacks, and other amounts based on information received from Payment Processors, payout providers, crypto processors, banks, card networks, fraud vendors, compliance vendors, tax systems, internal ledger systems, or other service providers.
For Marketplace Transactions other than Tips:

GeniesX may change pricing, Markup, Platform Fees, Tip Platform Fees, calculation methods, payout calculations, and related rules at any time, subject to applicable law and any required notice.
Payment Processors, payout providers, banks, regulators, or GeniesX may require tax information, withholding forms, tax certifications, invoices, business information, VAT/GST information, local tax details, or other tax-related documentation before payments or payouts are processed.
GeniesX may withhold, deduct, report, or remit amounts where required or permitted by law, processor rules, card-network rules, tax rules, or platform policy.
Taxes may be calculated based on the Final Customer Price, Creator Requested Amount, Creator Earnings, Genie Earnings, Net Tip Amount, Platform Fees, Markup, Tip Platform Fees, payout amount, or any other amount required by applicable law, tax authority rules, Payment Processor rules, card-network rules, or platform policy.
GeniesX may determine how taxes are calculated, collected, withheld, reported, or remitted based on applicable law and available transaction data.
You remain solely responsible for determining, reporting, and paying all taxes, duties, levies, fees, and governmental charges arising from your use of the Services, purchases, Creator Earnings, payouts, affiliate commissions, Crypto Transactions, or marketplace activity.
Your use of payment, payout, crypto, fraud, identity, Verification, or compliance services may be subject to additional terms, privacy policies, acceptable use policies, prohibited business rules, risk policies, or compliance requirements imposed by third-party providers.
By using the relevant features, you agree to comply with such third-party requirements.
GeniesX is not responsible for any third-party provider’s:
You must not access or use the Services if you are located in, ordinarily resident in, organized under the laws of, or acting on behalf of any Restricted Jurisdiction, sanctioned country, sanctioned region, restricted party, prohibited person, or blocked person.
You must not use the Services in violation of sanctions, export controls, AML laws, counter-terrorism financing laws, anti-bribery laws, anti-corruption laws, or other financial crime laws.
GeniesX may screen Users, Creators, Genies, Agencies, Studios, Managers, Affiliates, payment methods, payout methods, wallets, transactions, and related activity against sanctions, AML, fraud, wallet-risk, and compliance databases.
GeniesX may block, hold, freeze, reverse, refuse, report, or restrict any Account, transaction, payout, wallet, payment method, Marketplace Transaction, Crypto Transaction, or activity where required or advisable due to sanctions, AML, fraud, wallet-risk, processor, legal, or compliance concerns.
This Section 12 survives suspension, termination, Account closure, payout completion, deletion requests, Content removal, or discontinuation of the Services to the extent necessary to address Chargebacks, refunds, disputes, taxes, processor inquiries, audits, sanctions reviews, AML reviews, legal obligations, regulatory requests, card-network requirements, fraud investigations, pricing calculations, Markup calculations, Tip Platform Fee calculations, payout calculations, or other payment-related liabilities.
GeniesX may allow certain Crypto Transactions through third-party crypto processors. GeniesX does not guarantee that any Crypto Transaction will be available, accepted, reversible, completed, timely, or error-free.
You acknowledge and agree that:
GeniesX may require additional verification, transaction evidence, wallet ownership confirmation, source-of-funds information, or other documentation before enabling, processing, completing, or releasing any Crypto Transaction.
Creators, Genies, Agencies, Studios, Managers, Affiliates, and Users are solely responsible for all taxes, duties, levies, reporting obligations, registrations, licenses, and filings arising from their use of the Services, purchases, subscriptions, Creator Earnings, Genie Earnings, payouts, affiliate commissions, Crypto Transactions, Marketplace Transactions, Tips, Platform Balances, Credits, Tokens, or other activities.
GeniesX may collect, withhold, deduct, report, or remit taxes where required or permitted by law, Payment Processor rules, card-network rules, tax rules, or platform policy.
GeniesX may require tax information, withholding forms, tax certifications, invoices, business information, VAT/GST information, local tax details, or other tax-related documentation before payments or payouts are processed.
Taxes may be calculated based on the Final Customer Price, Creator Requested Amount, Creator Earnings, Genie Earnings, Net Tip Amount, Platform Fees, Markup, Tip Platform Fees, payout amount, or any other amount required by applicable law, tax authority rules, Payment Processor rules, card-network rules, or platform policy.
GeniesX may determine how taxes are calculated, collected, withheld, reported, or remitted based on applicable law and available transaction data.
You agree that:
By uploading, streaming, selling, transmitting, offering, publishing, messaging, or otherwise making Content available through the Services, you represent and warrant that:
GeniesX may remove Content, suspend Accounts, freeze payouts, require records, impose reserves, or terminate access if GeniesX determines that consent, rights, age, identity, or co-participant documentation is missing, incomplete, inconsistent, unverifiable, expired, suspicious, or insufficient.
Creators and Genies retain ownership of Content they create, subject to the rights granted to GeniesX and Users under these Terms.
By uploading, streaming, transmitting, selling, messaging, publishing, displaying, offering, or otherwise making Content available through the Services, you grant GeniesX a worldwide, non-exclusive, royalty-free, sublicensable only as necessary for service operations, transferable only as necessary for service operations, license to:
GeniesX will not use Creator or Genie Content for external marketing or promotional campaigns without the Creator’s or Genie’s permission, except that GeniesX may display Content within the Services as part of normal platform operation, including:
Users receive only a limited, revocable, non-exclusive, non-transferable, non-sublicensable, personal, non-commercial license to view Content made available to them through the Services.
No User receives any ownership rights in Content.
Unless expressly authorized by GeniesX and the relevant rights holder, Users must not:
Genies may publish Offers, accept Wishes, offer Experiences, provide personalized Content, provide private livestreams, sell locked media, or provide other customized digital services if enabled by GeniesX.
Unless expressly agreed otherwise in writing by GeniesX:
Genies are solely responsible for ensuring they can lawfully fulfill Wishes, Offers, Experiences, custom requests, and custom Content, and that all marketplace activity complies with these Terms and all policies.
Wishers must not submit Wishes that are:
Genies may reject Wishes at their discretion, and GeniesX may cancel, restrict, moderate, or remove Wishes at any time.
Genies must not promise:
If a Wish, Offer, Experience, or custom request is cancelled, delayed, disputed, restricted, or not completed, GeniesX may decide whether any refund, credit, payout adjustment, cancellation, or other remedy is appropriate. Any such remedy is discretionary unless required by applicable law.
GeniesX may retain records of Wishes, Offers, Experiences, custom requests, messages, delivery status, access logs, payment logs, disputes, refunds, and moderation actions for legal, safety, payment, fraud, Chargeback, compliance, records, or platform-integrity purposes.
Livestream Services may include live video, audio, chat, paid access, private streams, interactive features, virtual gifts, tipping, or other features.
GeniesX may monitor, review, record, retain, interrupt, restrict, suspend, terminate, or remove livestreams and related chat, metadata, clips, evidence, or logs for:
GeniesX does not guarantee:
Users must not record, download, capture, stream-rip, redistribute, archive, or share livestreams unless expressly authorized by GeniesX and the relevant rights holder.
GeniesX may terminate or restrict any livestream immediately and without prior notice if GeniesX determines that the livestream creates legal, safety, payment, fraud, consent, records, processor, regulatory, or platform-integrity risk.
The Services may permit Users, Wishers, Genies, Creators, Agencies, Studios, Managers, or other Accounts to communicate through messages, chats, comments, paid messages, custom requests, livestream chats, or other interactive tools.
You must not use messaging or interaction tools to:
GeniesX may review, monitor, store, restrict, or disclose messages and interaction records where permitted or required for:
Messaging features are provided as platform tools only. GeniesX does not guarantee that any message will be delivered, read, answered, retained, recoverable, private from compliance review, or available indefinitely.
GeniesX may use search, feeds, rankings, recommendations, trending systems, categorization, personalization, moderation signals, fraud signals, safety signals, user preferences, commercial factors, availability signals, marketplace performance signals, response-rate signals, dispute signals, completion signals, refund signals, Chargeback signals, complaint signals, compliance signals, and other systems to organize, recommend, display, rank, restrict, or reduce visibility of Content, Offers, Wishes, Experiences, Genies, and Accounts.
GeniesX does not guarantee:
GeniesX may change, test, modify, suspend, or remove discovery, ranking, recommendation, search, marketplace, or monetization systems at any time.
GeniesX may reduce visibility, restrict monetization, remove recommendations, or limit marketplace participation based on:
Users, Wishers, Genies, Creators, Agencies, Studios, Managers, and Affiliates must not use the Services to arrange, solicit, request, accept, advertise, facilitate, or complete off-platform payments, off-platform transactions, off-platform Content delivery, or off-platform services intended to avoid GeniesX fees, Platform Fees, Markup, Tip Platform Fees, payment controls, safety controls, Verification rules, or compliance requirements.
Prohibited off-platform conduct includes:
GeniesX may suspend Accounts, remove Content, cancel transactions, hold payouts, increase reserves, reverse earnings, terminate access, or take other enforcement action for off-platform transactions or fee avoidance.
You must not engage in any Prohibited Conduct.
Prohibited Conduct includes:
GeniesX may determine in its sole discretion whether conduct violates these Terms or any incorporated policy.
You must not upload, create, sell, stream, distribute, request, offer, purchase, promote, or otherwise make available AI-generated, synthetic, cloned, altered, or manipulated Content that violates GeniesX policies, infringes rights, impersonates another person, misuses a likeness, misleads Users, or lacks required consent.
Unless expressly approved by GeniesX, the following may be restricted or prohibited:

GeniesX may classify, restrict, demonetize, remove, reduce visibility of, or terminate Accounts or Content involving AI or synthetic media at its sole discretion.
GeniesX may, but is not obligated to, monitor, review, screen, moderate, remove, restrict, block, demonetize, label, reduce visibility of, suspend, or terminate Content, Accounts, Wishes, Offers, Experiences, livestreams, messages, payments, payouts, or other activity.
GeniesX may use:
GeniesX may take enforcement action without prior notice and without disclosing internal criteria, thresholds, risk scores, tools, vendors, or investigation methods.
Enforcement actions may include:
GeniesX does not guarantee that it will detect, prevent, remove, or act on every violation.
Users may report Content, Accounts, messages, livestreams, payment abuse, copyright issues, safety concerns, or other violations through the tools or contact methods made available by GeniesX.
GeniesX may review reports and take action at its discretion.
GeniesX does not guarantee that any report will result in:
Where GeniesX offers an appeal process, eligible Users may appeal certain enforcement actions. Appeals must be submitted through the required process and within any applicable deadline.
GeniesX may deny appeals, refuse repetitive appeals, or decline appeals that are:
GeniesX may maintain repeat violator, repeat infringer, repeat Chargeback abuser, repeat false reporter, repeat ban evader, and repeat policy violator records.
GeniesX respects intellectual property rights and may provide copyright takedown procedures, including procedures intended to align with the U.S. Digital Millennium Copyright Act where applicable.
Users must not upload, stream, sell, transmit, request, purchase, publish, or otherwise make available Content that infringes copyrights, trademarks, publicity rights, privacy rights, contractual rights, or other rights.

Upon termination, GeniesX may retain information, records, logs, Content copies, payment records, verification information, and compliance records where required or permitted for legal, safety, fraud, payment, Chargeback, processor, dispute, records, tax, or compliance purposes.

To the maximum extent permitted by law, any dispute, claim, or controversy arising out of or relating to these Terms, the Services, Accounts, Content, payments, payouts, balances, Crypto Transactions, Wishes, Offers, Experiences, moderation, suspension, termination, or your relationship with GeniesX will be resolved by binding arbitration.
The seat of arbitration will be Hong Kong. The arbitration will be conducted in English. The arbitration will be administered by the Hong Kong International Arbitration Centre or another arbitration body designated by GeniesX, where appropriate.
The arbitrator will have authority to resolve disputes regarding arbitrability, enforceability, interpretation, and scope of this arbitration agreement.
Nothing in these Terms prevents GeniesX from seeking injunctive, equitable, emergency, or protective relief in any court of competent jurisdiction to protect:

You may not assign or transfer these Terms, your Account, your rights, or your obligations without GeniesX’s prior written consent.
GeniesX may assign, transfer, delegate, or subcontract its rights and obligations under these Terms without restriction, including in connection with:
If any provision of these Terms is found unenforceable, invalid, or unlawful, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
GeniesX’s failure to enforce any provision of these Terms does not waive its right to enforce that provision later.

These Terms and incorporated policies constitute the entire agreement between you and GeniesX regarding the Services and supersede all prior or contemporaneous agreements, understandings, statements, or representations regarding the Services.

If there is any conflict between the English version and any translated version, the English version will control unless applicable law requires otherwise.
